01Legal notice

In compliance with Article 10 of Spanish Law 34/2002 on Information Society Services and Electronic Commerce (LSSI-CE), the owner of the website gsldm.com (the "Site") is identified as follows:

02Acceptance of these terms

Accessing or browsing the Site confers the status of user and implies full and unreserved acceptance of these Terms & Conditions (the "Terms") in the version published at the time of access. Please read them carefully each time you visit, as they may be updated.

These Terms apply to the Site only. The GSLDM data model itself, its documentation, specifications, schemas, sample data and any associated software are made available exclusively under separate written agreements (such as an evaluation, licence or services agreement). Nothing on the Site constitutes an offer or a licence to use the data model.

03Purpose of the Site

The Site is an informational website that presents GSLDM, the Generic Syndicated Loan Data Model, a vendor-agnostic data model for the financial and economic terms of syndicated facilities agreements, and allows interested institutions to request further information.

The information on the Site, including any descriptions of scope, object structures, examples and roadmap statements, is provided for general information only. It may describe features that are planned, in development or subject to change, and does not constitute a contractual specification, a commitment to deliver any feature, or a representation as to the suitability of GSLDM for any particular purpose.

04Intellectual property

The Site and all of its content, including without limitation text, graphics, logos, page design, code, the structure, naming and organisation of the data model as presented, object and field definitions, example payloads and documentation extracts, are the property of GSLDM SL or its licensors and are protected by Spanish, EU and international intellectual property laws, including copyright and, where applicable, the sui generis database right.

You are granted a limited, non-exclusive, non-transferable, revocable right to access the Site and view its content for your own internal, non-commercial evaluation purposes. Except as expressly permitted by these Terms or by mandatory law, you may not, without the prior written permission of GSLDM SL:

• reproduce, copy, distribute, publish, transmit, display or otherwise make available any part of the Site or its content;
• create derivative works from, translate, adapt or re-implement the data model or any part of it as described on the Site;
• extract, scrape or systematically collect data model definitions, examples or other content, whether manually or by automated means, including for the purpose of training machine-learning models;
• remove, obscure or alter any copyright, trademark or other proprietary notice.

Any use not expressly authorised is prohibited and may constitute an infringement of GSLDM SL's rights. All rights not expressly granted are reserved.

05Trademarks

GSLDM, the GSLDM name and the GSLDM logo are trademarks or trade names of GSLDM SL. They may not be used in connection with any product or service that is not GSLDM SL's, or in any manner likely to cause confusion or to disparage or discredit GSLDM SL, without prior written permission.

LMA is a trademark of the Loan Market Association. GSLDM is an independent data model and is not affiliated with, endorsed by, sponsored by or otherwise connected to the Loan Market Association. References on the Site to LMA standard documentation are made solely to describe the terminology and conventions with which GSLDM is designed to be consistent. All other product, service and company names mentioned on the Site are the trademarks of their respective owners and are used for identification purposes only.

06Permitted and prohibited use

You agree to use the Site in accordance with these Terms, applicable law, good faith and public order. In particular, you agree not to:

• use the Site for any unlawful, fraudulent or harmful purpose;
• attempt to gain unauthorised access to the Site, its servers, its backend services or any connected system, or to probe, scan or test their vulnerability without authorisation;
• introduce viruses, malware or any other harmful code, or interfere with the proper working or security of the Site;
• use bots, crawlers, scrapers or other automated means to access the Site or to submit the contact form, or place an unreasonable load on our infrastructure;
• impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• frame or mirror any part of the Site, or use its content in a way that suggests an endorsement by GSLDM SL.

GSLDM SL reserves the right to restrict or block access to the Site, without notice, to any user who breaches these Terms, and to take any legal action it considers appropriate.

07Contact form

The Site offers a form through which you may request information about GSLDM, its documentation, access and licensing. By submitting the form you confirm that the information you provide is accurate, that you are authorised to provide it, and that you are contacting us in a professional capacity on behalf of yourself or the institution you name.

Submitting the form does not create any contractual relationship, does not guarantee a response within any given time and does not entitle you to any access to or licence of the data model. Personal data submitted through the form is processed as described in our Privacy Policy.

08Third-party content and links

The Site may contain links to third-party websites or resources, and it loads certain resources (such as fonts and scripts) from third-party servers. These are provided for convenience only. GSLDM SL has no control over, and accepts no responsibility for, the content, availability, accuracy, privacy practices or terms of any third-party website or resource. The inclusion of a link does not imply endorsement.

If you become aware that a link on the Site points to unlawful or inappropriate content, please let us know at info@gsldm.com.

09No advice

Nothing on the Site constitutes legal, financial, regulatory, accounting, tax or investment advice, nor an interpretation of any facilities agreement, LMA document or other legal instrument. Descriptions of loan terms, structures, conventions and market practice are illustrative simplifications for the purpose of presenting the data model. You should obtain independent professional advice before relying on any information on the Site in connection with any transaction, system design or business decision.

10Disclaimer of warranties

The Site and its content are provided "as is" and "as available", without any warranty of any kind, whether express, implied or statutory, to the fullest extent permitted by applicable law. In particular, GSLDM SL does not warrant that:

• the Site will be available without interruption, timely, secure or free from errors, viruses or other harmful components;
• the content of the Site is accurate, complete, current or fit for any particular purpose;
• any defects will be corrected, or that the Site or the data model will meet your requirements.

GSLDM SL may suspend, withdraw or modify all or any part of the Site at any time without notice.

11Limitation of liability

To the fullest extent permitted by applicable law, GSLDM SL, its directors, employees, agents and licensors shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, data, goodwill or anticipated savings, arising out of or in connection with your access to or use of, or inability to access or use, the Site or its content, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if advised of the possibility of such damages.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for wilful misconduct or gross negligence.

You agree to indemnify and hold harmless GSLDM SL from any claim, loss or expense (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

12Privacy and cookies

The processing of personal data through the Site is governed by our Privacy Policy. Information about cookies and similar technologies is set out in our Cookie Policy. Analytics cookies are used only with the consent you give through the cookie banner, which you may withdraw at any time. Both documents form part of these Terms.

13Changes

GSLDM SL may amend these Terms at any time by publishing a revised version on the Site. The revised Terms take effect from the date of publication shown at the top of this page. Your continued use of the Site after that date constitutes acceptance of the amended Terms.

14Governing law and jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or with the use of the Site (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of Spain.

The courts and tribunals of [city of the registered office], Spain, shall have exclusive jurisdiction to settle any such dispute, and the parties expressly waive any other forum to which they may be entitled. If you are acting as a consumer within the meaning of applicable law, nothing in this section deprives you of the protection afforded by the mandatory provisions of the law of your country of residence or of your right to bring proceedings before the courts of that country.

15General provisions

• Entire agreement. These Terms, together with the Privacy Policy and the Cookie Policy, constitute the entire agreement between you and GSLDM SL regarding the use of the Site and supersede any prior understanding.
• Severability. If any provision of these Terms is held invalid or unenforceable, it shall be deemed modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
• No waiver. A failure or delay by GSLDM SL to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other right.
• Assignment. You may not assign or transfer your rights or obligations under these Terms. GSLDM SL may assign its rights to any successor or affiliate.
• Language. These Terms are drafted in English. Should a translation be provided, the English version shall prevail in the event of any inconsistency, to the extent permitted by law.
